A Lender’s Guide to Loan Documentation
Commercial Lending is a very documentation intensive business. The documentation can be overwhelming, confusing and difficult to understand for new lenders, underwriters, credit analysts, loan closers, loan administration officers or anyone starting their career in lending. Taking a practical approach, these videos try to remove the complexity of loan documentation. The videos were not created for lawyers nor in any way are the videos an attempt to provide legal advice. Also, the videos are not intended to provide comprehensive training for those viewers that are preparing to be professional loan closers. However, viewing the videos should prove to be an excellent first step in their training. The six videos comprise approximately 60 minutes of coaching.

Part 1 Borrower/Guarantor
Part 1 begins our series by reviewing the typical documentation pertaining to the Borrower/Guarantor of a commercial loan. We discuss the promissory notes, business entity documents required for sole proprietorships, corporations & partnerships, loan agreements and various types of guaranties. (Approximately 7 minutes)
Part 2 CRE Loan (Existing Property)
In Part 2, we review the common documentation required for a CRE loan for an existing property. Let’s talk about documentation such as Appraisals, Mortgages/Deed of Trusts, Loan Agreements, Environmental Studies, Assignment of Rents & Leases, Estoppel Certificates and other related documents. (Approximately 12 minutes)
Part 3 CRE Construction Loan (Preparation for Construction)
In this video, we cover those documents pertaining to the preparation for construction. We discuss some 18 documents that are typically required for a construction loan before work actually begins on the project. As much as possible, we try to provide examples of certain documents. (12 minutes)
Part 4 CRE Construction Loan (Monitoring & Completion)
Properly monitoring construction and verifying the satisfactory completion of a project mitigates risk. Let’s discuss the G702-703, Inspection Reports, Lien Waivers, an Affidavit of Completion, Final Surveys, an Affidavit of Completion, Final Bills Paid Affidavit by Contractor, Certificate of Occupancy & the Certificate of Final Acceptance, (Approximately 9 minutes)
Part 5 Title Insurance
Title Insurance is crucial in CRE lending, so we decided to cover the topic in its own video. Let’s explain the difference between a Title Commitment and a Title Policy. How about covering the ALTA Survey and the Review of Vesting Deed. What’s an ALTA Date Down Endorsement and a Title Insured Closing Letter? And there are other documents. ( Approximately 7 minutes)
Part 6 C&I Loan
C&I loans will have similar documentation as a CRE Loan. However, we need to discuss Tangible & Intangible Personal Property, Security Agreements, Title Certificates and UCC Financing Statements. Don’t forget about Landlord Subordination Agreements and Borrowing Bases. And we will discuss several other relevant documents. (Approximately 12 minutes)
